1 Program Definition
The Affiliate Program enables individuals or commercial entities (the "Affiliate") to market the Saytara ERP system and acquire new customers in exchange for monetary commissions, subject to the terms set forth in this agreement.
2 Nature of the Relationship
- The Affiliate operates as an independent marketer.
- The Affiliate is not considered an employee, legal partner, or exclusive representative of the Company.
- The Affiliate has no authority to sign contracts or make legal commitments on behalf of the Company.
- All intellectual property, development, operations, and technical support rights remain exclusively with the company that owns Saytara ERP.
3 Commission Structure
For new customers registered through the Affiliate:
- First year of the customer's subscription: the Affiliate earns 25% of the actual subscription amount paid.
- From the second year onwards: the Affiliate earns 15% of each renewed subscription, for as long as the customer continues their subscription and payment.
4 Commission Eligibility
- Commissions are calculated only after the Company has successfully received the customer's full payment.
- No commissions are paid on free trials, complimentary subscriptions, or unpaid invoices.
- If the customer cancels the subscription or receives a refund, the related commission is reversed or deducted.
- Commissions are limited to genuinely new customers who were not previously registered with the Company.
- The Company uses an official tracking system (referral link, agent code, or direct registration) to identify the customer source.
5 Affiliate Responsibilities
The Affiliate undertakes to:
- Market the system in a lawful and ethical manner.
- Provide accurate and non-misleading information.
- Refrain from making promises or offering benefits not officially approved.
- Not damage the reputation of the Company or its brand.
- Adhere to official pricing and policies.
6 Restrictions
The Affiliate is prohibited from:
- Modifying prices without official authorization.
- Using the Company's name in a misleading manner.
- Providing technical support on behalf of the Company without authorization.
- Using marketing methods that violate local laws.
- Reselling the system as its owner or developer.
7 Payments
- Commissions are paid periodically (monthly or quarterly, per Company policy).
- The minimum withdrawal threshold is set by the Company.
- The Affiliate is responsible for any local taxes or legal obligations related to their income.
8 Termination of the Affiliation
The Company has the right to terminate the Affiliate's membership immediately in the following cases:
- Fraud or manipulation.
- Providing misleading information.
- Damaging the Company's reputation.
- Violating the terms of this agreement.
In the case of lawful termination, the Affiliate retains only the commissions due before the termination date.
9 Modification of Terms
The Company reserves the right to modify the terms of the Affiliate Program or the commission rates in the future, with prior notice to Affiliates, without affecting previously approved entitlements.
10 Confidentiality
The Affiliate undertakes to maintain the confidentiality of any commercial, financial, or technical information related to the Company and not to share it with any third party.
11 Governing Law
This agreement is governed by the laws and regulations applicable in the country where the Company is registered.
12 Acceptance
Registering in the Affiliate Program or using its tools constitutes full acceptance of all the terms and conditions set forth above.
